These Terms & Conditions (“Terms”) apply to your use of www.tdsatandsound.com (the “Website”) and to purchases and services supplied by TD Sat & Sound S.L. (“TD Sat & Sound”, “we”, “us”, “our”).
If you do not agree with these Terms, please do not use the Website.

2) What we do
We provide professional services and products related to home technology, including (as applicable):
• Home cinema design and installation
• Smart home systems and programming (e.g., Control4)
• Lighting control and smart lighting
• Multi-room audio, networking (wired/Wi-Fi), racks, AV distribution
• Supply of equipment and related accessories
• Maintenance, support and service visits
Some services are delivered on-site and typically require a site visit, technical assessment, and a written quotation/proposal.
3) Definitions
• Consumer: a natural person acting for purposes outside their trade, business or profession.
• Professional / Business customer: any customer who is not a Consumer.
• Order: your request to purchase products and/or services.
• Proposal / Quote: our written scope, price, and conditions for a project or supply.
Where Consumer rules apply, they apply only to Consumers.
4) Website use
You may use the Website for lawful purposes only. You agree not to:
• interfere with the Website’s operation or security,
• attempt unauthorized access to systems or data,
• upload malware or abusive content,
• use content from the Website without permission.
We may suspend or restrict access to the Website if we reasonably believe there is misuse.
5) Information on the Website
We aim to keep Website information accurate, but the Website may contain errors or omissions (including pricing, stock, specifications, photos). Website content is not a binding offer.
A binding agreement for products/services normally occurs when:
• we confirm the Order in writing (email is sufficient), or
• you accept a written Proposal/Quote, or
• we begin performance of the agreed services.
6) Quotes, scope and change requests
6.1 Quotes and validity
Quotes/Proposals are typically valid for 30 days unless stated otherwise.
6.2 Scope of works
Our price and timeline are based on the scope described in the Proposal/Quote. Any additional work, variations, or client-requested changes may require a change order and may affect pricing and timelines.
6.3 Site conditions & third parties
If work depends on third parties (builders, electricians, internet providers, property management, etc.), delays or non-performance by third parties may impact schedule. We are not responsible for third-party delays outside our control.
7) Pricing, VAT and payment
7.1 Currency and VAT
Unless expressly stated otherwise, prices are in Euros (€). VAT (IVA) will be applied where required.
7.2 Deposits and payment terms
Unless otherwise agreed in writing, projects may require:
• a deposit before ordering equipment or scheduling work,
• milestone payments for longer projects,
• payment of the balance upon completion/commissioning/delivery.
Payment terms will be stated on the Quote/Invoice. Late payments may incur statutory interest and recovery costs where applicable.
7.3 Title to goods
Where we supply goods, ownership may remain with TD Sat & Sound until full payment is received, to the extent permitted by law.
8) Scheduling, access and customer responsibilities
You agree to:
• provide safe and timely access to the property during agreed hours,
• ensure the work area is reasonably ready (power, access, building works where needed),
• inform us of relevant site constraints (hidden pipes/cables, asbestos risks, restrictions),
• provide any required permissions/approvals (community/HOA, landlord, etc.).
If access is not available at the agreed time, or the site is not ready, additional costs (including wasted visits, waiting time, re-scheduling) may apply.
9) Products: availability, delivery and installation
9.1 Availability
Products are subject to availability. If an item becomes unavailable or lead times change, we will inform you and may propose alternatives.
9.2 Delivery & risk
If products are delivered by a carrier, delivery dates are estimates. Risk of damage in transit may depend on the agreed Incoterms/conditions and whether TD Sat & Sound or the customer arranged transport. We will clarify this in the Quote/Invoice where relevant.
9.3 Installation
Installation is performed based on agreed scope and site conditions. If hidden issues arise (e.g., defective existing wiring, non-compliant electrical work, structural limitations), we will inform you and propose solutions.
10) Consumer right of withdrawal (distance/off-premises contracts)
This section applies only if you are a Consumer and the contract is a distance (online/phone/email) or off-premises contract.
You may have a legal right to withdraw from the contract within 14 calendar days, without giving a reason, subject to legal exceptions.
Important exceptions (common examples)
The withdrawal right may not apply or may be lost, for example, where:
• goods are custom-made or clearly personalised,
• sealed goods are unsealed after delivery and are not suitable for return for health/hygiene reasons (where applicable),
• services have been fully performed with your prior express consent and acknowledgement that you lose the right of withdrawal once fully performed,
• digital content/services are supplied and you consent to immediate performance (where applicable).
If withdrawal applies, you may be required to pay for services already performed up to the withdrawal date, where permitted by law.
To exercise withdrawal (when applicable), email [email protected] with your name, address, Order reference, and a clear statement that you wish to withdraw.
11) Returns & refunds (non-withdrawal cases)
11.1 Project deposits / ordered equipment
If we have ordered equipment specifically for your project, or reserved production/installation time, cancellation may result in non-recoverable costs. Any cancellation charges will be based on the actual situation and the agreed Quote/Proposal.
11.2 Faulty / non-conforming goods
If goods supplied by us are faulty or do not conform, your remedies are governed by applicable consumer/contract law and manufacturer terms, including repair/replacement/refund as applicable.
12) Warranty and legal guarantees
12.1 Legal guarantee (Consumers)
Consumers benefit from the legal guarantee of conformity for consumer goods under applicable law. (This is separate from any manufacturer commercial warranty.)
12.2 Our workmanship / service warranty
Unless otherwise stated in the Quote/Invoice, we provide a workmanship warranty of
12 months on installation work performed by TD Sat & Sound, covering defects attributable to our workmanship. This does not cover:
• misuse, accidental damage, neglect, or unauthorised modifications,
• issues caused by third-party works, unstable power, poor internet service, or non-compliant existing infrastructure,
• normal wear and tear.
12.3 Manufacturer warranties
Many products include a manufacturer warranty. Warranty handling may require diagnosis, serial numbers, and manufacturer procedures. We can assist as agreed, and additional service charges may apply for out-of-scope visits.
13) Support, remote access and software
Some systems require cloud services, user accounts, app updates, licences, or third-party platforms. These are controlled by third parties and may change. Where remote support is used, you authorise us to access the system as needed to provide support, subject to privacy and security requirements.
14) Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded by law (including liability for death or personal injury caused by negligence, or fraud).
Subject to the above:
• We are not liable for indirect or consequential losses (e.g., loss of profit, loss of business, loss of data) where legally permitted.
• Our liability for direct losses arising from a contract may be limited to the amount paid for the relevant products/services giving rise to the claim, where legally permitted.
• We are not responsible for failures caused by events outside our reasonable control (see Force Majeure below).
15) Intellectual property
All Website content (text, images, branding, layouts, etc.) is owned by TD Sat & Sound or used under licence. You may not copy, reproduce, or reuse it without written permission.
16) Third-party links
The Website may contain links to third-party websites. We do not control and are not responsible for third-party content, policies, or services.
17) Privacy and cookies
Our processing of personal data is described in our Privacy Policy and Cookie Policy (published on the Website). Where these Terms refer to data processing, those policies apply.
18) Complaints and dispute resolution
We aim to resolve issues quickly and fairly. Please contact [email protected] first with the details of your complaint and any supporting documents/photos.
19) Governing law and jurisdiction
These Terms and any dispute or claim arising from them are governed by the laws of Spain.
Unless mandatory consumer rules provide otherwise, the parties submit to the courts of Marbella (Spain).
20) Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including (without limitation) supplier shortages, transport disruptions, power/internet outages, strikes, fires, flooding, or governmental actions.
21) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date indicates the latest version. Changes apply from publication on the Website.
